The same reason Jean-François Grollemund is the CEO of Blizzard Entertainment SAS, the European subsidiary of Blizzard Entertainment Inc. Because corporations often consist of many companies, each headed by a CEO, general manager, president, or similar. That does not mean that they are independent. These managers have to fulfill the wishes of their parent companies if they do not want to be replaced.

What logic are you using to imply that Koktik is in control? His only position are chairman of the board, and ceo and president of activision, positions shared by mike morhaine.

You state that Vivendi Games became a subsidiary of Activision Blizzard. I disagree, Vivendi Games was absorbed by Activision. There is no such thing as Vivendi Games anymore. There still, however, is a Blizzard Entertainment.
So, in short, there was a jumbling of assets. Blizzard was segregated from Vivendi Games into a subsidiary of Activision Blizzard, and the rest of Vivendi Games was dissolved into Activision. Activision is also a subsidiary of Activision Blizzard, as there are still games published under the Activision name.

Michael Morhaime is president and CEO of a company that is wholly owned by Activision Blizzard, the company that Kotick is president and CEO of.

That means that all the assets of Vivendi Games are now owned by that subsidiary of Activision Blizzard (the renamed Activision). One of these assets was Blizzard Entertainment Inc., which is therefore now a subsidiary of Activision Blizzard.
The fact that Activision Blizzard relases some games under the Activision brand and games made by its subsidiary Blizzard under the Blizzard brand says nothing about the ownership relations between both companies.
